The Hooman Asbaghi Case

A filing is not a verdict. Nothing on this site is a finding of liability.

Padtan Elm — ELISA microplates

File 02

What is Padtan Elm

Padtan Elm

Padtan Elm manufactured diagnostic kits that research papers named. Its site, www.padtan.com, was archived from 2002 until the domain stopped resolving. Iranian gazette paper kept printing Hooman Asbaghi as founder and shareholder after 1999. The 1999 power of attorney authorized Farideh Kavesh to act in his place. The claim in court is financial exclusion from that company’s success.

An About Us page captured 15 October 2019 placed the company in Tehran, dated the founding to 1995, and listed in-vitro kits — fertility, thyroid, infection, cancer, newborn screening — for a manual bench or an open automated system. At the bottom it printed ISO 13485 from QS in Switzerland and ISO 9001:2015. That is what the company printed about itself. A badge on that page is a claim. It is not the certificate file. Neither mark is a product approval or a United States FDA clearance. The registrar numbers are not in this file. The reading is on Certificates.

Founders, 1995

His account

In 1995 he co-founded Padtan Elm in Tehran with Farideh Kavesh, Narges Javad, and Alireza Amiri Gharagozlou, each with 25 percent.

Documented

The archived About page prints founded in 1995. The first signed instrument in this file is the articles of 18 Shahrivar 1375 / 8 September 1996. Four partners signed: Mostafa Bagherzadeh, Alireza Amiri Gharagozlou, Farideh Kavesh, and Hooman Ali Asbaghi. Capital 50 million rials, cash. Subject as printed: medical, laboratory, and hospital goods; import; sale inside and outside Iran. Narges Javad is not on that page. She is on the 24 Mehr 1381 / 16 October 2002 minute as a fifth equal partner.

Registration on the Rasmio card is 17 Dey 1375 / 7 January 1997 — national ID 10101705792, register 127180. His account of 1995 stands beside that date.

Unconfirmed

A signed founders agreement dated 1995, earlier than the 1375 articles.

The company on paper

After March 1999, his name on a minute is not proof he was in the room. The 1999 power of attorney authorized Farideh Kavesh to act in his place. The minutes are on Company exhibits.

31 July 2003

The minute prints his 12,500,000 rials “with the power of attorney of Farideh Kavesh.” That is the first collected page that shows the instrument in use.

13 January 2013

Extraordinary meeting, 24 Dey 1391. The gazette, published 6 February 2013, adds “export of all permitted commercial goods” to the objects. It does not print a share transfer, Padtan Teb, a power of attorney, or his name. There is no 14 January 2013 gazette in the collected pull. Rasmio.

14 January 2013 — the alleged asset transfer

His account

He says 14 January 2013 is the day company assets were moved off Padtan Elm into a new export vehicle, that he was not in the room, and that they hid it. He names that vehicle as Padtan Teb. The claim in court is financial exclusion from the company’s success.

Documented

The signed Farsi letter from Kianoush Behlouli is the exhibit for that day. The English rendering is an assist, not a sworn translation.

What the letter says: sessions at Padtan Elm and at Pathobiology Laboratory Center included Narges Javad, at 250 of 1,000, and Farideh Kavesh, at 250, acting as attorney for the other 250. The stated purpose of a new company was export of products described as technically strong. On 14 January 2013 a resolution was signed by the majority without the principal present. He asked for a contact number and was refused. Ommid Asbaghi was handling management matters. He was then removed as inspector.

He had accepted the alternate-inspector seat on 9 August 2011. The letter heading calls him principal for 2011–2013. The gazette prints alternate. The later recording is on the Behlouli–Narges call.

Unconfirmed

That the assets left. The signed transfer deed is not in this file. The letter does not name Padtan Teb. The 13 January gazette and the 14 January letter are not the same sitting. The letter is not a court finding.

Still printed after that meeting

On 21 April 2018 and on 5 November 2022 the lists still print him at 250 shares, by Farideh Kavesh’s power of attorney. Rasmio’s historical board also prints Hooman Ali Tabatabai Asbaghi as vice chairman from January 2016 to April 2018. After March 1999 a name in that block is not proof he was in the room.

On 13 February 2017 he is already the plaintiff in Tehran, case 333/2406/95. That file is not a verdict.

The 20 December 2023 notice names Alireza Korourian chairman and Farideh Kavesh vice-chair. Hooman is not on that board. Padtan Elm on Rasmio.

The company’s digital footprint

His account

The public pages were taken down so the company would be harder to find.

Documented

Wayback captures of padtan.com begin in 2002. The year charts are on Wayback. Directories describe the same company, and they do not agree on the founding year.

Unconfirmed

A coordinated erasure. A first missing capture is not proof of a takedown.

What directories printed

LinkedIn’s company card prints Medical Device, Tehran, and 201–500 employees. The About on that card reprints the English from the 15 October 2019 page.

RocketReach prints the same website, padtan.com, and No. 26, Sarparast Street, Tehran. It prints founded 1997 — the register year, not the 1995 date on the old About page — revenue of $28 million, and one employee.

LinkedIn does not print a revenue figure. The cards contradict each other on staff: 201–500 employees against one. Neither card is a tax filing.

News and awards

The company’s own news index put up tiles for the 6th Hakim Jorjani Festival Award in 2018, MEDICA 2017 in Düsseldorf, IQC exhibitions in 2016 and 2017, Tabriz Health 2016, and ELISA workshops in Shahrekord and Shiraz.

Hakim Jorjani is the laboratory-medicine prize at the Iranian Association of Clinical Laboratory Doctors’ quality congress in Tehran. The Award 2018 page printed 19 April 2018. The trophy in that photograph also prints IQC 2018.

IQC on those tiles is that congress, not an ISO code. MEDICA is the Düsseldorf medical trade fair. The site printed Hall 16, Stand A49-1, 13–16 November 2017.

Those captures are on News and articles.

Research papers that name the company

Independent methods sections put this company’s kits in the room. Neonatal TSH screens name Padtan Elm ELISA kits, one of them next to a United States plate reader. Other papers run H. pylori IgG and IgA on Padtan Elm kits and put IgM on IBL. A chemicals line lists Padtan Elm of Tehran next to Sigma and Bio-Rad.

That is what those papers printed. It is not a partnership, and it is not his allegation.

The table, the company’s own list of seventeen titles, and the hosted PDFs are on Papers that name the company.

The four pages in the still: Engineering in Life Sciences, 2020. Valizadeh, International Journal of Endocrinology and Metabolism, 2011. BMC Cancer, 2010. Advanced Biomedical Research, vitamin D3 and H. pylori.

Padtan Teb

His account

Around 2013, after a meeting he did not attend, Padtan Elm’s assets were moved into Padtan Teb.

Documented

Padtan Teb is a real company. Its public site and Rasmio company card exist. Live padtanteb.ir says it was founded as an LLC in 1366. Marketing copy on the warehouse intro prints “found on 1990.” The first Wayback captures of the public site begin in 2013. A first archive date is not a founding date. The warehouse intro, kit faces, and live register card sit on Padtan Teb.

PTELM is a paper he produced. Pishtaz Teb and Pattan Elm, Canada, are names in his account. Neither is established here as a recipient.

Unconfirmed

That Padtan Teb is the receiving company for a 2013 movement of Padtan Elm’s assets.

The market around it

These figures describe a country market. They do not describe this company’s books.
His account

He says that after 1999 the Iranian pharmaceutical market expanded, and that a kit company in that market was worth more than a local ELISA shop. He places the alleged 2013 movement just before the post-sanction drop.

Documented

Kebriaeezadeh and colleagues, in DARU Journal of Pharmaceutical Sciences in 2013, found that medicine consumption sales in Iran grew 28.38 percent a year from 1997 to 2010, from $0.139 billion to $2.467 billion. The paper’s table of the top ten domestic producers does not name Padtan Elm.

Zartab and colleagues, in the Journal of Pharmaceutical Policy and Practice in 2020, put the market at about $2.35 billion in 2008, about $4.71 billion in 2012, about $3.82 billion after the 2013 sanctions bite, and about $4.608 billion in 2016. First author Saman Zartab. Those numbers describe a sector. They do not describe this company’s books.

Unconfirmed

Padtan Elm’s own revenue in those years is not in this file, and neither is a cash-out timed to July 2013. Zartab’s sector figures are not a number for the lawsuit.

Names that sit on two boards

His account

After 1999 she voted her 25 percent and his 25 percent. People from her laboratory then sat on the Padtan Elm company’s board.

Documented

Farideh Kavesh is vice-chair of Padtan Elm and managing director of Pathobiology Laboratory Center. The laboratory’s 2011 specialists page, captured 28 October 2011, printed Kavesh on its board with Dr. Bagherzadeh, Dr. Amiri Gharagozlou, and Dr. Moghimi — surnames already on Padtan paper — and printed Dr. Korourian as a staff pathologist.

29 Farvardin 1398 / 18 April 2019: Moghimi becomes Padtan Elm managing director. 12 Mehr 1400 / 4 October 2021: Korourian becomes chairman and still chairs. She is still vice-chair. Two companies. The same names keep appearing on both boards.

Unconfirmed

That she placed them there to lock the board. The paper prints the names. It does not print her reason. Overlap of officers is not a finding that the kit company and the laboratory are one legal person.

The later recording

His account

He says he first saw Behlouli’s account on 18 April 2024.

Documented

The 14 January 2013 letter sits above, with that date. Minutes dated 9 August 2011 record the seat he accepted: Amargaran principal, Kianoosh Behlouli alternate. The gazette dated 15 Mordad 1390 (Rasmio 10087956) names Kianoush Behlouli, national ID 4219495452, as alternate. The letter heading says principal. Both are on paper.

Unconfirmed

That the voices are independently identified. That the call belongs to 2013 or to any other year. That “year 92” is the 14 January 2013 sitting. No gazette on this site prints the resolution text itself. It is not shown that the receiving entity is the public company at padtanteb.ir. The recording is not an admission. A completed asset transfer is not established.

The Behlouli–Narges call

About two minutes sixteen seconds. No call date is on the file. The timestamped transcript is on Nargues Djavad / Narges Javad. The recording is what he supplied. It is not a finding.

Counsel hired to look at the company

His account

He says he hired Babak Hoghooghi to look into Padtan Elm and the share movement, and that the same lawyer was already counsel on the company’s agreements.

Documented

Hoghooghi is a Washington lawyer. Berliner Corcoran & Rowe lists him as managing partner from January 2023. Public profiles describe a practice in United States economic sanctions, including OFAC licensing on Iran.

A 19 November 2020 firm statement billed to Hooman Asbaghi exists. The time entries print OFAC rules on medical exports to Iran. They do not print Padtan Elm.

A 27 February 2023 thread he sent Hoghooghi names Padtan Elm and closes “As my attorney.” Hoghooghi answered on 2 March that the firm could look at identifiable legal issues, and that as a friend he could support in other ways.

A 6 March 2025 disciplinary complaint exists. A complaint is not a finding. The paper on him is one window.

Unconfirmed

That the 2020 statement is the share investigation. That the engagement was a conflict from the first day.

Iranome

His account

He says Iranome and earlier Iranian genome work used Padtan Elm kits and Pathobiology Laboratory Center samples, and that Creative Commons and a Toronto partnership let genomic work move despite sanctions. That, in his account, is why a kit company in this market would have been worth more than a local ELISA shop.

Documented

Iranome is a real catalog. Fattahi and colleagues, in Human Mutation in 2019, reported whole-exome sequencing of 800 people from eight Iranian ethnic groups: 1,575,702 variants, 308,311 of them novel, and 37,384 rare variants at higher frequency in this population. The public About page names Hossein Najmabadi and Mohammad Reza Akbari at the University of Toronto. Akbari’s lab page lists the Iranome Genomic Variation Database as a project co-led with Najmabadi. Dalla Lana published it on 16 April 2018. Mehr News covered the inauguration on 16 January 2018.

A separate project, the Iranian Genome Project at Stanford in 2011, was funded by PARSA at $250,000 and publicly named Harvard and Illumina as collaborators. The Stanford 2011 project is not the 2018 Iranome catalog.

Iranome’s FAQ names Illumina platforms. That line is the catalog’s own. It is not the Stanford project’s collaborator list.

Padtan Elm is not on Iranome’s author list, the About page, or the inauguration story. Pathobiology Laboratory Center is not named on the author list either. Definitions, the split between the two projects, and the variant counts are on Iranome.

Unconfirmed

Padtan Elm is not established as a named Iranome party, and Pathobiology is not established as the site of the 800 samples. A Creative Commons license is not a Padtan–Toronto contract. Illumina on Iranome’s FAQ is not a Padtan contract.

Alleged deals

His account

He says Padtan Elm sold OEM immunoassay work to Thermo-family names — Applied Biosystems, Invitrogen — and he also names Bio-Rad. He says Thermo Fisher and Roche identified Padtan Elm as the regional supplier for a genomics build-out, “details in Thermo Fisher’s 2014 10-K.” He has produced a paper headed PTELM / Roche, 15 March 2016, Zurich.

Documented

The archived site offered OEM contract manufacturing, antibody purification, conjugation, microplate coating, and lyophilization. That offer is on padtan.com and defined on OEM.

Thermo Fisher’s 2014 annual report describes its own Clinical Diagnostics line and “approximately 80 different validated methods.” The same report says: “We also private label many of our reagents and controls for major in vitro diagnostics companies through OEM arrangements. In many instances, we will work with customers or partners to develop new products and applications for their instrument platforms.” That paragraph is Thermo Fisher describing its own practice. It does not name Padtan Elm, Tehran, Djavad, or a Roche–Padtan license.

That paragraph does not name this company.

A Thermo Fisher TaqMan search for “Padtan Elm” returns 18 assays. The hits that open are the gene Elm1 in baker’s yeast, maize, and Arabidopsis. That is a catalog string. It is not a contract.

What sits next to those claims is public, and none of it names this company. Thermo announced Life Technologies on 15 April 2013, about $13.6 billion, and closed on 3 February 2014. Iranian lab suppliers today advertise Thermo Fisher kits for import. ATR-MED calls itself a Thermo representative in Iran (atrmed.com). United Against Nuclear Iran reprints a 2017 Thermo letter saying the company adopted a global policy against Iran transactions in 2007 (UANI letter). Official policy and local listings sit next to each other.

On 24 November 2016, Päivi Helena Ranta of Labquality wrote about Padtan Elm EIA CODE: 821. She wrote that Labquality runs external quality assessment; that they had a client more than ten years earlier who used clinical chemistry reagents from Padtan; and that the reagent name stays on the list so clients can select it. That correspondence is on Kits and EQA.

He has produced a 2016 paper headed PTELM and Roche. No public Zurich register page for PTELM is in this file, and no public Roche–Padtan filing is either. That paper is on PTELM.

Unconfirmed

No Thermo–Padtan OEM contract is in this file. The 2014 annual report is not a Padtan contract. The TaqMan hits are a gene name, not a supply agreement. Thermo and Roche are not shown to have named this company as sole regional genomics supplier. A signed Roche–PTELM license is not a closed deal. Dollar and royalty figures from that paper are not treated as paid. Bio-Rad is not a Thermo company.

The 2024 instrument

His account

In 2024 Farideh Kavesh signed an instrument he treats as payment for his co-founding share in Padtan Elm. He says she did not honor it. He filed Asbaghi vs Asbaghi, 25CU01380C, in March 2025.

Documented

Two Dubai Courts instruments issued 24 October 2024, thirty-three minutes apart. The 14:08 paper names Farideh Kavesh as principal and Hooman Ali as attorney. The printed powers are inquiry into her UAE bank accounts. They are not withdrawal, and they are not a sale of Padtan Elm shares. The 14:40 paper names two UAE advocates for lawsuits, settlement, and estate banking. The room for that afternoon is 2024 Dubai POA. This page does not retell that afternoon.

Unconfirmed

That the instrument settled the Padtan Elm share. That a court has enforced it.

The suit

Documented

Asbaghi vs Asbaghi, San Diego Superior Court, 25CU01380C, was filed 17 March 2025 (Court). Farideh Kavesh and Ommid S. Asbaghi are named on that caption. There is no finding of liability. The claim in court is financial exclusion from the company’s success.

An earlier Tehran Dispute Resolution Council file, Branch 2406, 13 February 2017, names Hooman as plaintiff and Padtan Elm and Pishtaz Teb among the defendants. The cover is the court expert report. It is not a verdict. Currency totals are not printed here.

People named on this page

Names appear because they are printed on a document or a public page. Listing a name is not a finding of wrongdoing.

  • Hooman Asbaghi is named on the company paper and is the plaintiff in 25CU01380C.
  • Farideh Kavesh is attorney-in-fact on the 1999 instrument and vice-chair on the live Rasmio board.
  • Ommid Asbaghi is named in the Behlouli letter as handling management matters, and is named on the 2025 caption.
  • Narges Javad holds 250 of 1,000 on the letter and on the 16 October 2002 shareholder page. She is managing director on multiple gazettes. IACLD Jorjani pages print her as CEO. The recording with the auditor is on her page, as a recording he supplied.
  • Alireza Amiri Gharagozlou is named on founding minutes and later boards. The Pathobiology doctors’ board prints Dr. R. Amiri Gharagozloo, D.Sc. The names overlap. This page does not treat them as the same person.
  • Alireza Korourian is the current chairman of Padtan Elm. Dr. A.R. Korourian, M.D., is printed on the Pathobiology doctors’ board and as Quality Control Manager on path-lab.ir. The names overlap across two rooms. The plaque is not here.
