The 1999 power of attorney

The original is Farsi. English summaries in the file are working captions, not sworn translations. The scan is the exhibit. An attorney-in-fact has a duty to act in the principal’s interest. That duty is the legal frame. It is not a closing.

Two notarial offices appear across the stack: office 198 on the 1378 original (Image POA Asbaghi to Kavesh 1999.pdf), office 815 on 1392 pages (filename: 1999 POA Kavesh to Asbaghi.pdf). Those are two instruments, not one misread. Continuation pages from the same folder sit under each instrument: Docs2 for the 1999 share-and-meeting powers, Docs26 / Docs25 A for office 815. Working OCR and English translation PDFs in the same folder are captions, not the instruments. The filename does not merge them.

A later page that prints Farideh as Hooman’s attorney at a general meeting is consistent with this instrument. July 2003 minutes already print his holding that way. After 1999, that is the default reading unless a page shows his own hand. It does not, by itself, prove a 2013 taking of shares. The live civil question is what she did with the authority, including whether he was paid. His claim is that he received nothing.

A 2024 Dubai afternoon, aimed at UAE banks, is later paper. Two instruments, thirty-three minutes apart. They are not these two Tehran notarial offices. That paper lands on The 2024 Dubai power of attorney.

A later two-page CamScanner PDF titled “1999 POA” is a different instrument (office 815, 1392) and sits in the next card.

The 1378 instrument names Hooman as the principal and Farideh as his attorney, notary office 198. Later 1392 pages are a different instrument (office 815). A continuation page prints serials in the 08292xx series and lists powers that include buying and selling company shares, attending meetings, and acting so that no further signature from the principal is required. Farsi on the scan is the exhibit; this caption is English.

Establishes. A 1999 power of attorney from Hooman to Farideh exists. An attorney-in-fact is required to act in the principal’s interest. Later Padtan pages that print her as his attorney are consistent with that instrument.

Does not establish. Does not by itself prove a 2013 share theft or a Roche contract. It also does not prove he was paid. The live civil question is what she did with that authority, not whether the paper exists.

1999 power of attorney — continuation: banks, shares, meetings

Continuation page of a notarial power of attorney. Powers as printed include dealing with banks, municipalities, tax, labour, utilities; opening and operating accounts; taking facilities; buying and selling company shares; attending meetings; and acting so that a further signature from the principal is not required. Serial in the 08292xx series on companion 1378 pages. This is the same 1999 instrument family as office 198, not office 815.

Establishes. The 1999 instrument is not a thin ‘sign this letter’ page. Share-trading and meeting powers are on the continuation. Later Padtan lists that print Farideh as attorney for his line are using powers this page already grants.

Does not establish. Does not by itself prove a 2013 share deed, a bank credit to him, or that she breached the duty. A continuation page is not the 1392 office-815 instrument.

2003 minutes already print Farideh as attorney for his share

Extraordinary meeting of Padtan Elm LLC, capital 62.5 million rials. Partners listed: Farideh 13.5 million; Narges, Mostafa, Alireza, and Hooman at 12.5 million each. Hooman’s line is printed with Farideh as his attorney. The meeting withdraws the 16 October 2002 minutes from the registry file. Farideh is elected to a two-person board.

Establishes. By July 2003 — four years after the 1999 instrument — company paper already treats his holding as exercised through her. That is the default reading for later listings of his name.

Does not establish. Does not prove a 2013 taking. A 2003 attorney line is not a bank credit to him, and it is not a finding that she breached the duty.

This is not the 1378 office-198 page. Those are two instruments.

Establishes. A complete, uncropped original of the later instrument exists. A reader of Farsi can read the full page. The 1378 office-198 scan remains a separate document.

Does not establish. The filename does not make this the 1999 instrument. Office 815 is not office 198. A 1392 power of attorney is not the 1378 paper, and it is not by itself a 14 January 2013 share deed.

Office 815 continuation — banks, companies, customs, courts

Docs26 is the long continuation. Docs25 page A is a further office-815 sheet (serial 139285152507000791, notary Mohammad Faraji). Filename collision: another file also titled Docs25 is the 1401/4/23 attendance list.

Notary office 815, Tehran, Mohammad Faraji. Type printed as a power of attorney. Continuation powers include bank accounts, electronic cards, Islamic-contract facilities, company formation and administration, attending assemblies and voting, buying and transferring shares, customs and commercial-card work, and court representation with power to appoint substitutes. Handwritten date on the continuation: 20 Shahrivar 1392. Verification serials in the 1392851525070007xx range. This is not the 1378 office-198 page.

Establishes. A complete continuation of the later instrument exists in the same folder as the minutes. Office 815 is on the face. The date is 1392, not 1378.

Does not establish. The filename does not make this the 1999 instrument. A 1392 power of attorney is not the missing 14 January 2013 share-transfer deed.
